Julia was admitted as a solicitor in England & Wales in 1985 and has practised as a solicitor in Hong Kong since 1987 and is an experienced practitioner in the field of corporate finance. Julia has extensive experience of China work and is a Mandarin speaker. Julia has advised issuers, sponsors, major shareholders and underwriters on the listings of several companies in Hong Kong. She also has experience in foreign investment in the PRC, including the establishment of joint ventures and wholly owned foreign enterprises, and is familiar with the business and legal issues arising in that country for would-be investors. Julia advises regulators, financial institutions and listed companies on the listing rules of both the Main Board of the Hong Kong Stock Exchange and the Growth Enterprise Market. She is experienced in the fields of securities law, capital markets, M&A, investment funds, restructuring and regulatory issues.

Philip qualified as an English Solicitor in 1993 and worked for Clifford Chance in the City of London and in Brussels before moving back to Derry to work in a non-legal capacity for international clothing manufacturer Desmond & Sons Ltd for seven years, Marks & Spencer plc for three years (Sourcing Director Childrenswear) and then J. Sainsbury plc (General Manager Asia, based in Hong Kong), all of which gave him extensive commercial and senior management experience. He has been a partner at Caldwell & Robinson since 2004.

Philip advises on all aspects of corporate commercial law, from company sales, acquisitions and restructurings at home and in England, to commercial contracts and corporate arrangements in emerging markets, particularly China. He is a director of Avrio Advocati and was appointed president of the board in 2014.

Karen is a native of Cahersiveen in County Kerry and was educated at the United World College (New Mexico USA), Birmingham University and The College of Law (Chester).  She qualified as a Solicitor in England & Wales in 1994 and worked for three years for Gouldens in the City of London and Brussels before moving to Northern Ireland in 1995 when she was admitted as a Solicitor in both Northern Ireland and the Republic of Ireland.

She is an accredited member of the Northern Ireland Children’s Panel, and is a member of the International Academy of Matrimonial Law, an organisation of leading global family lawyers. Benoît Morzier’s practice focuses on civil construction law, economic criminal law, matrimonial law and contract law. Recently, he has started to specialise in space law.

He is also active in several professional and economic promotion associations at regional and Swiss level.

Bruce Bowden
Partner

Bruce Bowden focuses mainly in the areas of M&A transactions, international legal matters, general corporate issues, and corporate finance law.

Practicing in the international arena since the early 1970s, Bruce has represented overseas companies acquiring U.S. companies and U.S. investors in the sale of U.S. interests to overseas companies. He has also represented U.S. companies in establishing foreign offices, subsidiaries, and distribution networks. Bruce’s overseas transactions have involved parties in North, Central and South America, in Europe, in the Middle East, and in the Far East.

Bruce has also acted as outside general counsel for a number of companies, including two that produce cutting-edge medical devices.

On the corporate finance side, Bruce has represented corporations in scores of venture capital, public offering, and debt financing transactions. He has worked as principal negotiator, as well as legal advisor, on transactions with federal, state, and local government agencies.

Bruce regularly lectures on many aspects of corporate and international law. He has presented before the American Bar Association, the Pennsylvania Bar Institute, AVRIO Advocati, and Legalink.

An active member of the Pittsburgh community, Bruce sits on a number of client and civic boards of directors and holds leadership positions and other offices in several community organizations.

 

William F. Bresee

William Bresee’s practice focuses primarily on corporate, international, and construction matters, as Bill possesses a wealth of experience in the area of commercial transactions. Bill serves as West Coast Chair of the Construction Practice Group.

Bill has advised a wide range of clients, from multinational corporations to entrepreneurial enterprises, on issues such as corporate organization and administration, and legal matters related to electrical power, petroleum, telecommunications, industrial and civil facilities for U.S. and foreign corporations, governmental entities, and joint ventures. Bill is also experienced in international sourcing of material, contractor-subcontractor and owner-vendor issues, infrastructure issues, private placements, research and development projects, investments in high technology concerns, “partnering” and other joint venture vehicles, acquisitions, corporate planning and structure, construction, financing, architectural design and engineering issues, equipment leasing, and commercial agreements involving U.S., European, Asian, and Middle Eastern business concerns.

He is also a retired U.S. Navy/Navy Reserve Captain (Supply Corps), having had seven significant command assignments in logistics.

Daniel T. Mongan

Daniel T. Mongan has built a thriving corporate practice and has served his clients in a variety of capacities, including holding executive positions as leader of corporate strategy for W.L. Gore & Associates, Inc., general counsel of ICx Technologies, Inc., and general counsel of Infinia Corporation.

Over the course of his career, Dan has gained extensive experience in the financing, purchase, and sale of businesses, as well as securities law, banking and finance, corporate matters, and the negotiation and drafting of a wide variety of contracts, including technology license agreements, executive employment agreements, investment and shareholder agreements, and commercial contracts.

He has experience managing the breadth of issues faced by businesses across a spectrum of industries, as well as deep expertise in mergers and acquisitions, spinoffs, divestitures, joint ventures, and strategic alliances. Dan advises his clients on a range of financing and investment matters, including venture capital and private equity investments, securities, banking, and project finance.
